TERMS OF SERVICE

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "Client," or "User") and Freedom Code LLC, a Wyoming limited liability company ("Freedom Code," "we," "us," or "our"). By accessing or using our website, purchasing any product or service, enrolling in any coaching programme, course, or digital product, or otherwise engaging with any of our offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately discontinue use of our website and services. We reserve the right to modify these Terms at any time. Your continued use of our website or services following any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Nature of Services

Freedom Code LLC provides coaching, educational content, digital products, online courses, group programmes, and related services in the areas of personal development, business growth, mindset optimisation, nervous system conditioning, biofeedback-informed techniques, and limiting beliefs removal (collectively, the "Services").

THE SERVICES ARE EDUCATIONAL AND INFORMATIONAL IN NATURE. THEY ARE NOT AND SHALL NOT BE CONSTRUED AS:

• Medical treatment, diagnosis, or healthcare of any kind
• Psychotherapy, counselling, psychiatric services, or mental health treatment
• Licensed professional therapy or clinical intervention
• Financial advice, investment advice, tax advice, or accounting services
• Legal advice or legal services
• A substitute for any licensed professional service

You acknowledge that LiberatingU / Freedom Code LLC is not a licensed medical practitioner, psychologist, psychiatrist, psychotherapist, licensed counsellor, financial advisor, or attorney. Any information provided through the Services is for general educational purposes only and should not be relied upon as a substitute for consultation with qualified professionals in the relevant field.

3. Eligibility

You must be at least eighteen (18) years of age to purchase or use our Services. By using our website or Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accessing the website without purchasing Services, you must be at least 16 years of age (or the minimum age of digital consent in your jurisdiction).

4. Intellectual Property

All content, materials, methodologies, frameworks, systems, techniques, processes, videos, audio recordings, written materials, graphics, logos, trademarks, trade names, and any other intellectual property made available through the website or Services (collectively, "Company IP") are and shall remain the sole and exclusive property of Freedom Code LLC. Company IP is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use Company IP solely for your personal, non-commercial use in connection with the Services for which you have paid. You may not, without our prior written consent:

• Copy, reproduce, distribute, publish, display, or create derivative works of any Company IP
• Record, screenshot, or capture any live coaching sessions, calls, webinars, or workshops
• Share, resell, sublicence, or otherwise make available any Company IP to third parties
• Use any Company IP for commercial purposes, including to create competing products or services
• Remove, alter, or obscure any copyright, trademark, or proprietary notices

Any unauthorised use of Company IP constitutes a material breach of these Terms and may subject you to civil and criminal liability. Freedom Code LLC reserves all rights not expressly granted herein.

5. User-Generated Content

By submitting, posting, or transmitting any content through our platforms, community spaces, social media, email, or any other medium ("User Content"), you grant Freedom Code LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works from your User Content, in whole or in part, in any media format and through any media channels now known or hereafter developed, for any purpose including but not limited to marketing, advertising, promotional, and commercial purposes, without further notice to you, with or without attribution, and without the requirement of any permission from or payment to you or any other person or entity.

6. Disclaimer of Warranties

THE WEBSITE AND ALL SERVICES, CONTENT, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FREEDOM CODE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, FREEDOM CODE LLC MAKES NO WARRANTY THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR SATISFACTORY; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM FREEDOM CODE LLC OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FREEDOM CODE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the website or Services
• Any conduct or content of any third party on or related to the Services
• Any content obtained from or through the Services
• Unauthorised access, use, or alteration of your transmissions or content
• Any decisions made or actions taken by you based on information provided through the Services
• Any business, financial, health, or personal outcomes resulting from your use of the Services

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF FREEDOM CODE LLC ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO FREEDOM CODE LLC FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

8. Assumption of Risk

You acknowledge and agree that participation in the Services, including but not limited to coaching sessions, biofeedback-informed techniques, nervous system conditioning exercises, mindset work, and limiting beliefs removal processes, may involve emotional, psychological, and physical responses. You voluntarily assume full responsibility for any risks, injuries, or damages, known or unknown, that you might incur as a result of participating in the Services.

You represent and warrant that you are in good physical and mental health and are not aware of any medical or psychological condition that would impair your ability to safely participate in the Services. If you have any pre-existing medical or psychological conditions, you agree to consult with a qualified healthcare professional before participating in any of our Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Freedom Code LLC, its members, managers, officers, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees and costs) arising out of or in connection with: (a) your use of or access to the website or Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any claim that your actions caused damage to a third party; or (e) any decisions, actions, or omissions you make based on information obtained through the Services.

10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

10.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Freedom Code LLC at legal@contactgavin.com and attempt to resolve any dispute informally for a period of at least sixty (60) days.

10.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Wyoming, United States, or at a location mutually agreed upon, and may be conducted virtually. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.

10.3 Class Action Waiver

YOU AND FREEDOM CODE LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. If any court or arbitrator determines that the class action waiver set forth in this section is void or unenforceable for any reason, then the arbitration agreement shall be deemed null and void in its entirety.

10.4 Exception for Small Claims

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.

10.5 International Users

If you are located outside the United States, you acknowledge that by using the Services, you are transacting with a United States company. To the extent permitted by the laws of your jurisdiction, you agree that the dispute resolution provisions above shall apply. Nothing in these Terms shall deprive you of any mandatory consumer protection rights to which you are entitled under the laws of your country of residence that cannot be waived by contract.

11. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. To the extent that arbitration is not applicable, the exclusive jurisdiction and venue for any claims shall be the state and federal courts located in the State of Wyoming, and you hereby consent to the personal jurisdiction of such courts.

If you are a consumer in the European Union, European Economic Area, or the United Kingdom, nothing in these Terms affects your rights under mandatory local consumer protection laws. Any provisions that would be prohibited under such laws shall be deemed modified to the minimum extent necessary to comply with such laws.

12. Termination

Freedom Code LLC reserves the right, in its sole discretion, to terminate or suspend your access to all or any part of the website or Services at any time, with or without cause, with or without notice, effective immediately. Without limiting the foregoing, Freedom Code LLC may terminate your access if you breach any provision of these Terms, engage in abusive or disruptive behaviour, attempt to defraud the company, or engage in chargebacks or payment disputes without first contacting us.

Upon termination, your right to use the Services will immediately cease. Sections 4 (Intellectual Property), 5 (User-Generated Content), 6 (Disclaimer of Warranties), 7 (Limitation of Liability), 9 (Indemnification), 10 (Dispute Resolution), and 11 (Governing Law) shall survive any termination or expiration of these Terms.

13. Force Majeure

Freedom Code LLC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, government orders, internet service disruption, power outages, telecommunications failures, or third-party service provider failures.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Earnings Disclaimer, Health and Medical Disclaimer, Testimonial Disclaimer, Refund Policy, and any programme-specific terms and conditions, constitute the entire agreement between you and Freedom Code LLC with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
